By accessing or using the Site or Services, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, you must discontinue your use of the Site and Services immediately.

Unauthorized Password Sharing Prohibited:
You may not share, distribute, disclose, or otherwise make available your access password or any login credentials to others. Each purchaser is granted a limited, non-transferable right to access digital content for their personal use only. Sharing passwords with any third party constitutes a violation of these Terms and may result in immediate termination of access and legal remedies.

6. Nature of Services

Peak Functional Health provides functional nutrition counseling, lifestyle coaching, educational programs, and wellness resources designed to support your health goals through evidence-based nutrition and lifestyle interventions.

Our Services include, but are not limited to:

  • One-on-one functional nutrition counseling and coaching
  • Group coaching programs and workshops
  • Educational digital products (guides, workbooks, courses, templates)
  • Health assessments and personalized recommendations
  • Lifestyle and nutritional protocol development
  • Support for chronic health conditions through nutrition and lifestyle modifications
  • Educational content on metabolic health, gut health, hormonal balance, and related topics

Important Disclaimers:

WE ARE NOT MEDICAL DOCTORS. Our Services are provided by functional nutrition counselors and health coaches. We do not:

  • Diagnose, treat, cure, or prevent any disease
  • Provide medical advice, prescribe medications, or recommend specific medical treatments
  • Replace the care of licensed medical physicians or other healthcare professionals
  • Offer emergency medical services
  • Guarantee any specific health outcomes or results

Our Services are educational and supportive in nature. We provide nutrition and lifestyle guidance based on functional health principles. All recommendations are intended to complement, not replace, professional medical care.

You are responsible for:

  • Consulting with your physician or qualified healthcare provider before making significant changes to your diet, exercise routine, or health regimen
  • Continuing all prescribed medical treatments unless directed otherwise by your physician
  • Informing us of any medical conditions, medications, allergies, or health concerns that may affect our recommendations
  • Seeking immediate medical attention for any medical emergencies or concerning symptoms

7. Insurance and Payment

Not Covered by Insurance: Our Services are provided on an out-of-pocket basis and are not covered by health insurance. We do not provide insurance billing codes, NPI numbers, or superbills, as functional nutrition counseling is outside the scope of insurance-reimbursable services in most cases.

HSA/FSA: Some clients successfully use Health Savings Account (HSA) or Flexible Spending Account (FSA) funds for our Services. We recommend checking with your HSA/FSA administrator regarding eligibility. We can provide itemized receipts upon request.

Payment Terms:

  • All fees for Services are due at the time of booking or as otherwise specified in your service agreement
  • We accept payment through our authorized payment processors
  • By providing payment information, you represent that you are authorized to use the payment method provided
  • Prices are subject to change, but any changes will not affect Services already purchased

Missed Appointments:

  • We require at least 24 hours notice for cancellations or rescheduling
  • Late cancellations (less than 24 hours notice) or no-shows may be subject to the full session fee
  • Exceptions may be made for emergencies at our discretion

8. Refund and Cancellation Policy

Educational Digital Products: We offer a satisfaction guarantee on educational programs and digital products. If you complete the program materials as directed, implement the strategies as instructed, document your experience, and feel the program did not provide educational value, you may request a refund within the specified guarantee period (typically 15 days from purchase).

To request a refund, you must provide:

  • Proof of purchase
  • Documentation showing you completed the program as instructed (e.g., completed workbooks, tracking logs)
  • A brief explanation of why the program did not meet your needs

Counseling and Coaching Services:

  • Individual counseling sessions are generally non-refundable once completed
  • Package programs may be eligible for partial refunds on unused sessions, minus any discounts received
  • Refund requests must be submitted in writing to support (at) peakfunctionalclinic (dot) com.

We reserve the right to deny refunds in cases of policy violations, abuse, or failure to provide required documentation.

9. Professional Relationship and Boundaries

When you engage with our functional nutrition counseling or coaching Services, you enter into a professional client-practitioner relationship. This relationship is:

  • Professional, not personal: Our interactions are bound by professional ethics and boundaries
  • Collaborative: We work together toward your health goals, but you are ultimately responsible for implementing recommendations and making health decisions
  • Confidential: We maintain confidentiality in accordance with professional standards and applicable laws (see Privacy Policy for details)
  • Non-prescriptive: We provide education and recommendations; we do not prescribe medications or medical treatments

Client Responsibilities:

  • Provide honest, complete information about your health history, current conditions, and medications
  • Follow recommendations in consultation with your medical providers
  • Communicate openly about challenges, concerns, or questions
  • Maintain professional boundaries in all communications

Our Responsibilities:

  • Provide evidence-based nutrition and lifestyle guidance
  • Maintain professional competence through continuing education
  • Respect your autonomy in health decisions
  • Maintain confidentiality within legal and ethical bounds
  • Refer you to appropriate medical professionals when concerns arise outside our scope of practice

10. Intellectual Property

All content, materials, and other elements available on the Site and through our Services, including but not limited to text, graphics, logos, images, videos, audio, software, educational programs, workbooks, templates, frameworks, recipes, protocols, assessment tools, and proprietary methodologies, are the exclusive property of Barrington Enterprises Inc. (doing business as Peak Functional Health) or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use materials provided through Services you have purchased for your personal, non-commercial use only
  • Download materials as permitted within your purchased Services
  • Print materials for your personal reference

Our Proprietary Methodologies: We have developed proprietary assessment tools, protocols, frameworks, and approaches to functional nutrition counseling. These are our intellectual property and may not be used, reproduced, or taught by others without a written licensing agreement.

Unauthorized use of our intellectual property may result in immediate termination of your account and may subject you to civil and criminal liability.

11. Third-Party Products, Services, and Links

Supplement and Product Recommendations: We may recommend specific nutritional supplements, health products, testing services, or other third-party products as part of our counseling Services. We do not manufacture these products and are not responsible for their quality, safety, efficacy, or any adverse reactions.

You acknowledge:

  • All supplement and product purchases are made at your own discretion and risk
  • You should review product labels, ingredients, and warnings before use
  • You should consult your physician about potential interactions with medications or medical conditions
  • We may receive affiliate commissions from some product recommendations, but this does not influence our professional judgment

No Guarantees: While we base our recommendations on current scientific understanding and clinical experience, individual results vary significantly. We make no guarantees, representations, or warranties regarding:

  • Resolution of symptoms or health complaints
  • Prevention of disease or health complications
  • Improvements in lab values, biomarkers, or diagnostic tests

We strongly encourage collaboration between all members of your healthcare team. We are happy to:

  • Provide summaries of our work together for your medical records
  • Coordinate care recommendations with your medical team

You are responsible for:

  • Informing your medical providers about your work with us
  • Sharing relevant information about our recommendations with your healthcare team
  • Obtaining medical clearance when recommended
  • Following medical advice from your physicians

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Pleasant Grove, UT, and you hereby irrevocably consent to the jurisdiction of such courts.

Informal Resolution: Before filing any formal dispute, you agree to contact us at [support (at) peakfunctionalclinic (dot) com] to attempt to resolve the matter informally. We will attempt to resolve disputes in good faith within 30 days.

18. Termination

We may terminate or suspend your access to the Site or Services immediately, without prior notice or liability, for any reason, including but not limited to:

  • Unauthorized sharing of account access or materials
  • Fraudulent activity or misrepresentation about health status
  • Violation of intellectual property rights
  • Threatening, abusive, or inappropriate conduct toward staff
  • Non-payment of fees
  • Conduct that we determine to be harmful to other clients or our business

You may terminate your relationship with us at any time by ceasing to use the Services and closing your account. Upon termination by either party:

  • Your right to use the Site and Services will immediately cease
  • You must cease all use of any materials downloaded or obtained from the Services
  • You must delete any copies of materials in your possession
  • Outstanding fees remain due and payable
  • Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy and all applicable disclaimers, constitute the entire agreement between you and Barrington Enterprises Inc. (dba Peak Functional Health) regarding your use of the Site and Services, and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter.

21. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Peak Functional Health.

22. Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice or consent. Any attempted assignment in violation of this provision is void.
